Terms of service — Bolteryx

These terms govern your use of bolteryx.com and, where no separate signed agreement exists, our provision of services. Where a signed engagement letter conflicts with anything here, the engagement letter wins.

Engagements

Work begins when a written scope has been agreed and any required advance has been received.
Quoted prices cover the scope as written. Additions are quoted separately and in advance — we will not surprise you on the final invoice.
Timelines assume agreed response times from your side. Delays in approvals or access shift the schedule accordingly.

Payment

Unless agreed otherwise, engagements are billed in milestones with an advance at kickoff.
Invoices are payable within 15 days. Overdue amounts may pause active work after written notice.
All fees are exclusive of applicable taxes.

Intellectual property

On full payment, all deliverables produced specifically for you transfer to you outright.
Pre-existing Bolteryx tooling and open-source components remain under their own licences, granted to you perpetually for use within the delivered work.
We may describe the engagement in general terms in our portfolio unless you ask us in writing not to.

Warranties and liability

We warrant that work will be performed with reasonable skill and care, and we will fix defects reported within 30 days of delivery at no charge.
We do not warrant that software will be uninterrupted or error-free.
Our total liability under any engagement is limited to the fees paid for it. Neither party is liable for indirect or consequential loss.

Termination

Either party may end a rolling engagement with 30 days written notice.
On termination you pay for work completed to that point, and we hand over everything produced.
